This Digital Marketing Agreement ("Agreement") is entered into as of the date signed below, by and between the following parties:

Scope of Work
Lush Digital shall provide Rize Elevator, LLC with a comprehensive 6-Month SEO Growth Campaign designed to establish Rize Elevator as the undisputed leader in Central Florida elevator search results. The campaign encompasses the following eight core deliverables:

| 04 | 26 New Geo/Service Landing Pages | Twenty-six new purpose-built landing pages completing a 52-page landing page network targeting the highest-value city/service combinations across Central Florida. Each page is built to rank and convert. |

In addition to the core SEO campaign, this Agreement includes the following bonus deliverables:

Fees & Investment
The fee schedule for this Agreement is structured as a 6-month commitment at a flat monthly rate, all-inclusive of the deliverables described above.
Two conditions apply: (1) We go on a fishing trip together — dock is fine. (2) You carve out one hour, bi-monthly, to review results with us — three check-ins over the six months. That's it.
The fees outlined above do not include third-party ad spend, web hosting, or email hosting. These third-party fees are not services provided by Lush Digital and will be charged, billed, and appear on the Client's credit card statement directly from the respective third-party platforms (Meta, Google, etc.). Lush Digital recommends consistent advertising investment for all businesses; however, ad management and advertising consulting services are not included in this Agreement.
Terms & Conditions
These terms and conditions shall be governed by Florida law and subject to the exclusive jurisdiction of the Florida Court System.
Content development will begin upon execution of this Agreement.
Lush Digital will develop up to, but no more than, one (1) mock for creative. These mocks will be final in nature. Lush Digital will perform up to, but no more than, one (1) round of changes to copy, imagery, or content.
Rize Elevator, LLC shall designate one (1) point of contact who will be present for all reviews and meetings.
During the course of this Agreement, Rize Elevator, LLC may be required to deliver assets, information, and feedback in order for Lush Digital to complete deliverables and services herein. If these assets, information, and feedback are not received in a timely manner, Lush Digital may need to delay deliverables, suspend services, or stop development until the requested items are provided. Suspension of services due to insufficient or missing feedback, assets, or information will not terminate fees, suspend the payment schedule, or suspend this Agreement.
Lush Digital shall not be liable for any failure to perform its obligations under this Agreement if such failure arises, directly or indirectly, out of any acts of God, acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, computer or telecommunications failures, Internet service provider or hosting facility failures or delays involving hardware, software or power systems, denial of service attacks, incompatibility of Client's equipment or software with Company's equipment or software, acts or omissions of vendors or suppliers, or transportation and telecommunications difficulties. Lush Digital shall not be liable for any failure to perform its obligations due to sickness or hospitalization of the Client or Lush Digital's staff, officers, or subcontractors. For digital services (Google Ads, SEO, PPC, LinkedIn P2P, Social Media Management), any service term delayed or paused will be extended by the same number of days, weeks, or months as the delay.
Lush Digital reserves the right to assign subcontractors, partners, and/or Lush Digital employees to this project to ensure the right fit for the job as well as on-time completion.
Additional fees may be incurred if changes are made to the agreed-upon project scope and objectives.
Lush Digital warrants that the functionality contained in this project will meet Rize Elevator, LLC's requirements and that the operation will be reasonably error-free. The entire risk as to the quality and performance of the project is with Rize Elevator, LLC. In no event will Lush Digital be liable to Rize Elevator, LLC or any third party for any damages, including any lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of or inability to operate the website, even if Lush Digital has been advised of the possibility of such damages. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions.
Rize Elevator, LLC represents to Lush Digital and unconditionally guarantees that any elements furnished to Lush Digital for inclusion in the project are owned by Rize Elevator, LLC, or that Rize Elevator, LLC has permission from the rightful owner to use each of these creative elements, and will hold harmless, protect, and defend Lush Digital and its subcontractors from any claim or suit arising from the use of such elements furnished by Rize Elevator, LLC.
Lush Digital guarantees that all aspects of design and construction of the project will be disclosed to Rize Elevator, LLC upon completion, and full code, copyrights, and ownership will be the sole property of Rize Elevator, LLC. Lush Digital retains the right to display graphics and other design elements as examples of its work in its portfolio and website, and may use all metrics including growth, conversions, and any other information necessary for case studies.
The agreement contained in this Contract constitutes the sole agreement between Lush Digital and Rize Elevator, LLC regarding the services contained herein. Any additional work not specified in this Contract must be authorized by a written change order, contract, or addendum and additional invoicing.
By executing this Agreement, Rize Elevator, LLC authorizes Lush Digital to charge the credit card on file for the monthly fee of $2,950.00, beginning upon the date of signing and recurring on the 1st of each month for the duration of the 6-month term. The total amount charged during the term of this Agreement will not exceed $17,700.00. These charges will appear on the Client's credit card account statement. No prior notification will be provided unless the payment process date changes by +/− 168 hours or more, or the amount changes, in which case notice will be provided by Lush Digital. Holidays may affect billing dates.
This Agreement and its terms, conditions, pricing, and language are proposed for consideration and signing on or before April 20, 2026. This Agreement is set to expire and will be nullified if not signed and ratified by both parties by April 20, 2026, after which a new agreement, pricing, and service package will be necessary.
If Rize Elevator, LLC halts work and applies for a refund within four (4) days of signing of this document, work completed shall be billed at the hourly rate of $200.00 and deducted from the initial payment, the balance of which shall be returned to Rize Elevator, LLC. If, at the time of the request for refund, work has been completed beyond the amount covered by the initial payment, Rize Elevator, LLC shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless requested within four (4) days of the signing of this Contract.
In the event that any suit or action is instituted under or in relation to this Agreement, including without limitation to enforce any provision in this Agreement, the prevailing party in such dispute shall be entitled to recover from the losing party all fees, costs, and expenses of enforcing any right of such prevailing party under or with respect to this Agreement, including without limitation such reasonable fees and expenses of attorneys and accountants, which shall include, without limitation, all fees, costs, and expenses of appeals.
